Job Scope:
Corporate secretarial
- Manage corporate secretarial matters, including preparing board and shareholder resolutions, and board appointments and resignations
- Prepare and support for online filings, including liaison with other relevant departments e.g. Finance, with relevant authorities to maintain business licenses and statutory reports
- Maintenance of internal corporate register database
Contracts management
- Assist in preparation and negotiation of commercial agreements with distributors, hospitals, group purchasing organizations, governmental entities and healthcare professionals
- Negotiate and redline deviations from standard templates
- Draft contract language to address unique situations/concerns as requested
- Support in updating legal templates as required
- Organize and maintain legal templates and databases
Intellectual property
- Support and coordinate with Commercial team and IP counsel on IP licensing agreements
- Coordinate amongst local stakeholders and communicate with IP counsel to manage various company IP protection efforts, including dealing with IP infringements by third parties.
- Coordinate trademark clearances between Commercial team and IP counsel
General paralegal tasks
- Coordination and preparation of periodic reports as requested by senior management team
- Identify training needs and assist in development and presentation of training and education regarding legal requirements and developments
- Coordinating and organizing legal trainings
- Supports the Legal team on critical projects within the region
- Support Compliance Program including coordinating and partnering with Compliance on review and preparation of SOPs, programs, templates etc
- General paralegal work requested on an as-needs basis, including legal research
- General administrative work as needed to support Legal team e.g. organizing legal team meetings; coordinating invoice payments and travel arrangements
Requirements:
- Proven ability to handle multiple concurrent responsibilities in a highly dynamic environment
- Strong ability to work efficiently and effectively with time-sensitive materials
- Excellent judgment and demonstrated discretion in handling confidential information
- Ability to maintain organized files and databases
- Good drafting, analysis and communication skills
- Proficient in the use of Microsoft Office suite of products
